These Terms of Service (“Terms”) govern your use of the ShotReady website and service at shotready.ai (the “Service”), operated by Exactio Labs, a DBA of Armitage & York Holdings LLC (“ShotReady,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
2. The Service
ShotReady generates AI-created professional headshots from photographs you upload. You upload a set of photos, we train a temporary private model on your likeness, and we deliver a set of generated images. Generation typically completes within minutes but timing is not guaranteed.
3. Your photos and content
- Photos must be of you. You may only upload photographs of yourself. You represent and warrant that you are the person depicted and that you have all rights necessary to upload the photos and have them processed.
- You may not upload photos of other people, minors, celebrities, or any person without rights; nor any content that is unlawful, infringing, sexually explicit, hateful, deceptive, or intended to impersonate or harm others.
- License to operate. You grant us a limited, revocable license to use your uploaded photos solely to provide the Service to you (including training your private model and generating your images) and to screen them for safety. We do not claim ownership of your photos.
- We use automated and/or manual screening and may refuse or remove any content, and suspend or terminate accounts, that we reasonably believe violate these Terms.
4. Your generated images
Subject to your compliance with these Terms and payment in full, you own the headshots we generate for you and may use them for personal and commercial purposes. Because the Service relies on generative AI, results vary and we do not guarantee any particular likeness, quality, style, or outcome.
5. Pricing and payment
Prices are shown at checkout and are one-time charges (no subscription) unless stated otherwise. Payments are processed by Stripe; by purchasing, you agree to Stripe’s terms. You authorize us to charge your chosen payment method for the amount shown.
6. Refunds
Refunds are governed by our Refund Policy, which is incorporated into these Terms.
7. Acceptable use
You agree not to misuse the Service, including by attempting to access it in unauthorized ways, interfering with its operation, scraping, reverse engineering, or using it to create content that is illegal or violates the rights of others.
8. Intellectual property
The Service, including the ShotReady name, logo, software, and design, is owned by Exactio Labs / Armitage & York Holdings LLC and protected by law. These Terms do not grant you any right to our trademarks or branding.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or produce any specific result.
10. Limitation of liability
To the maximum extent permitted by law, ShotReady and its owners, members, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless ShotReady, Exactio Labs, and Armitage & York Holdings LLC from any claims, damages, or expenses arising out of your photos, your use of the Service, or your violation of these Terms.
12. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming for any dispute not subject to arbitration.
13. Changes to these Terms
We may update these Terms from time to time. Changes are effective when posted; the “Last updated” date reflects the latest version. Your continued use of the Service constitutes acceptance.
